Each Party acknowledges that the limitations of liability in this Agreement are a reasonable allocation of risk and that without such allocation, the Service Provider would not be able to provide the Services at the prices charged<\/em>.\u201d<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Let\u2019s Learn by Example<\/strong><\/h2>\n\n\n\n<p>Imagine a construction company in India (let\u2019s call it ABC Builders) hired to construct a large commercial complex in Mumbai. To bring this exciting project to life, ABC Builders partners with several subcontractors, including a painting subcontractor. In each of these agreements, ABC Builders adds a limitation of liability clause, which means that if they are removed from the project, the subcontractors can\u2019t claim lost profits.&nbsp;<\/p>\n\n\n\n<p>Unfortunately, midway through construction, the client decides to let go of ABC Builders and appoints a new contractor, XYZ Constructions, to take over. While XYZ Constructions keeps most of the subcontractors on board, they choose to part ways with the painting subcontractor.&nbsp;<\/p>\n\n\n\n<p>Understandably, the painting contractor feels frustrated. They invested considerable time and resources in bidding for the job and preparing for its execution. Had the contract been completed, they would have seen a profit of \u20b920 lakh. However, due to ABC Builders&#8217; termination, the painting subcontractor sadly lost this opportunity.&nbsp;<\/p>\n\n\n\n<p>Despite this setback, the limitation of liability clause in the contract provides strong protection for ABC Builders, preventing the painting subcontractor from claiming lost profits. This situation certainly offers a lot of security for their client, ABC Ltd., and a considerable win for you as their lawyer!<\/p>\n\n\n\n<p><strong>Sample Limitation of Liability Clause, Tailored to the Example<\/strong><\/p>\n\n\n\n<p>\u201c<em>Limitation of Liability: In the event of termination of the General Contractor from the project, the Subcontractor shall not be entitled to claim or recover any lost profits, anticipated earnings, or consequential damages arising from such termination. The total liability of the General Contractor and its representatives, if any, shall be limited to direct damages, which shall in no event exceed the amounts paid to the Subcontractor for the work performed up to the date of termination.
