She lost the master recordings to her first six albums in a corporate acquisition. She re-recorded four of them. In May 2025, she bought the originals back from Shamrock Capital for an undisclosed nine-figure sum.<sup data-fn=\"dd13ecb5-b9ed-4b1a-80e2-c2eb23f50323\" class=\"fn\"><a id=\"dd13ecb5-b9ed-4b1a-80e2-c2eb23f50323-link\" href=\"#dd13ecb5-b9ed-4b1a-80e2-c2eb23f50323\">1<\/a><\/sup>\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Most coverage read this as a celebrity feud or a contract related issue. Every move in it including the acquisition, legality of the re-recordings, the buyback and so on runs on doctrine that a transactional IP lawyer applies on an ordinary working day.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>A song is not one copyright but has various elements<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is where most explainers go wrong. A recorded song stacks several rights on top of each other. The lyrics are a literary work authored by the songwriter. The composition is a musical work authored by the composer. The sound recording as per Section 2(xx) of the Copyright Act, 1957 (\u2018the 1957 Act\u2019), is a recording from which sounds may be produced, regardless of the medium.<sup data-fn=\"bd57d201-1b6a-47e7-b542-138535f3dc5b\" class=\"fn\"><a id=\"bd57d201-1b6a-47e7-b542-138535f3dc5b-link\" href=\"#bd57d201-1b6a-47e7-b542-138535f3dc5b\">2<\/a><\/sup> The performance is protected in India as a distinct performer\u2019s right under Sections 38 to 38B of the 1957 Act<sup data-fn=\"85a000e7-6f72-448b-81e0-8fe5309ed115\" class=\"fn\"><a id=\"85a000e7-6f72-448b-81e0-8fe5309ed115-link\" href=\"#85a000e7-6f72-448b-81e0-8fe5309ed115\">3<\/a><\/sup>. So you can write every word and note of a song and hold nothing in the final or master recordings (\u2018masters\u2019) of it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That was Swift\u2019s position exactly. She wrote the early catalogue and Big Machine financed the recordings and owned those masters. When Ithaca Holdings acquired Big Machine in 2019, the masters went with the company. Ithaca sold on to Shamrock Capital in 2020, at a price variously reported between $300 million and $360 million.<sup data-fn=\"bbb4ccd0-7aeb-4e9f-9ac6-56456e276b81\" class=\"fn\"><a id=\"bbb4ccd0-7aeb-4e9f-9ac6-56456e276b81-link\" href=\"#bbb4ccd0-7aeb-4e9f-9ac6-56456e276b81\">4<\/a><\/sup><sup>\u00a0<\/sup> Nothing about that was unlawful. It was a simple sale of an asset, one that happened to be Taylor Swift\u2019s hard work, her creation and her voice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The Re-recordings: The loophole is old and part of Copyright law<\/strong><\/h2>\n\n\n\n<figure class=\"wp-block-image aligncenter size-full is-resized\"><img fetchpriority=\"high\" decoding=\"async\" width=\"728\" height=\"440\" src=\"https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-1.png\" alt=\"\" class=\"wp-image-1290\" style=\"aspect-ratio:1.6551724137931034;width:624px;height:auto\" srcset=\"https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-1.png 728w, https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-1-300x181.png 300w\" sizes=\"(max-width: 728px) 100vw, 728px\" \/><\/figure>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><em>Image generated by OpenAI<\/em><\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><em>Image 1: Copying a master infringes, re-performing it does not<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Swift needed nobody\u2019s permission to make new recordings, for two reasons. Firstly, she controlled the compositions so she could license fresh fixations of her own songs and each new fixation is a new sound recording with its own copyright. Secondly, under 17 U.S.C. \u00a7114(b), the rights of a sound recording owner do not extend to another recording that consists entirely of an independent fixation of other sounds, even where it deliberately imitates the original.<sup data-fn=\"545ad69e-72cb-46ac-8034-a19e49f47030\" class=\"fn\"><a id=\"545ad69e-72cb-46ac-8034-a19e49f47030-link\" href=\"#545ad69e-72cb-46ac-8034-a19e49f47030\">5<\/a><\/sup> Copy the master and you infringe. Re-perform it, note for note, in a studio and you do not.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The only obstacle she faced was contractual, not statutory. Recording agreements carry a&nbsp; re-recording restriction clause which states that an artist cannot re-record the delivered tracks for a fixed period after the term ends. Fortunately, she was able to overcome this obstacle since that period had lapsed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left\"><strong>Devaluing an asset you do not own<\/strong><\/h2>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><strong><img decoding=\"async\" width=\"668\" height=\"307\" src=\"blob:https:\/\/www.lawctopuslawschool.com\/34ec6fc5-808d-4222-8018-6b62c57794d3\"><\/strong><\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><em>Image 2: The success of Eras Tour helped Taylor Swift buyback old masters owned by others<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Taylor Swift is blessed with a true fan following popularly called Swifties. Fearless (Taylor\u2019s Version) and Red landed in 2021, following with Speak Now and 1989 in 2023.<sup data-fn=\"2979f29b-88c4-486c-ab2a-693589b6e9eb\" class=\"fn\"><a id=\"2979f29b-88c4-486c-ab2a-693589b6e9eb-link\" href=\"#2979f29b-88c4-486c-ab2a-693589b6e9eb\">6<\/a><\/sup> Her loyal Swifties swiftly shifted their preferences to Taylor\u2019s version and had a valid reason to switch. Every playlist swap and sync license that moved to the new recordings pulled income away from the old masters quietly, depressing the value of the very asset the holder needed to monetise. The Eras Tour, which grossed an estimated $2.2 billion, paid for the buyback. She did not litigate but competed with herself and won.<sup data-fn=\"41924fd9-31b4-46e4-9df5-1d86aafa6592\" class=\"fn\"><a id=\"41924fd9-31b4-46e4-9df5-1d86aafa6592-link\" href=\"#41924fd9-31b4-46e4-9df5-1d86aafa6592\">7<\/a><\/sup><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The exit route she did not use and necessary clauses<\/strong><\/h2>\n\n\n\n<figure class=\"wp-block-image aligncenter size-large\"><img decoding=\"async\" width=\"1024\" height=\"689\" src=\"https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-2-1024x689.png\" alt=\"\" class=\"wp-image-1291\" style=\"aspect-ratio:1.5976190476190477\" srcset=\"https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-2-1024x689.png 1024w, https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-2-300x202.png 300w, https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-2-767x516.png 767w, https:\/\/www.lawctopuslawschool.com\/blog\/wp-content\/uploads\/2026\/09\/image-2.png 1362w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><em>Image 3 &#8211; The necessary clauses in an Artist Agreement<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">US copyright law offers authors a second route. Section 203 lets an author terminate a grant executed on or after January 1, 1978, effective 35 years after execution, within a five-year window on advance written notice and it cannot be contracted away.<sup data-fn=\"c2e80e40-ddd6-4b7b-8919-780a2238efb9\" class=\"fn\"><a id=\"c2e80e40-ddd6-4b7b-8919-780a2238efb9-link\" href=\"#c2e80e40-ddd6-4b7b-8919-780a2238efb9\">8<\/a><\/sup> Her Big Machine deal dates from 2005 allowing the termination window being open 35 years from execution between 2040 to 2045. But there is another catch worth knowing that most explainers skip. Termination under Section 203 does not apply to work made for hire and label agreements routinely characterize sound recordings as work made for hire. Whether that characterization holds for a sound recording is genuinely contested in the US. Thus, Swift\u2019s alternative was a long waiting time. Instead, she engineered her own reversion out of a contractual gap.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A lesson to learn from this is that five clauses decide everything in an artist related contract. Firstly, whether it is an assignment or a license. Under Section 19(1) of the 1957 Act, an assignment must be in writing and signed and should identify the work, the rights, the duration and the territory.<sup data-fn=\"54489723-43cd-46ae-b34c-3e9cc5387a01\" class=\"fn\"><a id=\"54489723-43cd-46ae-b34c-3e9cc5387a01-link\" href=\"#54489723-43cd-46ae-b34c-3e9cc5387a01\">9<\/a><\/sup> The re-recording restriction must always be negotiated, especially where the period is unreasonable. Swift\u2019s whole strategy existed because hers ran out. There must be analysis of change of control since her masters were reallocated twice through corporate transactions she was not even a party to. Well-defined royalty and audit clauses are also an integral part of the artist\u2019s agreement.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Could this have happened in India?<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Partly, and the outcome for the songwriter would have been better. The 2012 amendment<sup data-fn=\"91e7e071-4502-4637-b50a-623240e654c5\" class=\"fn\"><a id=\"91e7e071-4502-4637-b50a-623240e654c5-link\" href=\"#91e7e071-4502-4637-b50a-623240e654c5\">10<\/a><\/sup> changed the position for authors of underlying works. The proviso to Section 18<sup data-fn=\"da6313c0-1071-4d68-897c-1cd3d6f704f9\" class=\"fn\"><a id=\"da6313c0-1071-4d68-897c-1cd3d6f704f9-link\" href=\"#da6313c0-1071-4d68-897c-1cd3d6f704f9\">11<\/a><\/sup> says that an author of a literary or musical work cannot assign away the right to receive royalties for use of that work in a sound recording, except to legal heirs or a copyright society. Sections 19(9) and 19(10) void any assignment that denies the author an equal share of royalties for utilisation of the work in any form other than communication to the public along with a film in a cinema hall.<sup data-fn=\"f3961409-dd1e-4248-805a-1e7c21220d64\" class=\"fn\"><a id=\"f3961409-dd1e-4248-805a-1e7c21220d64-link\" href=\"#f3961409-dd1e-4248-805a-1e7c21220d64\">12<\/a><\/sup> So, perhaps an Indian Swift would still likely not own the masters but she would keep royalty stream from the composition inside it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Swift did not win because she owned her songs. She won because she owned her compositions and because somebody in 2005, gave the re-recording restriction an expiry date.
