You find an arbitration clause and the client asks, \u201cSo how does arbitration work in India? The answer is not simply \u201cgive notice and appear before an arbitrator.\u201d The lawyer has to look into <strong>the arbitration agreement<\/strong>, limitation, the appointment mechanism, pleadings, evidence, interim relief, the award and, finally, enforcement.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Start With the Contract, Not the Notice<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Before drafting a notice of invocation, the lawyer should read the arbitration clause carefully. The Arbitration and Conciliation Act, 1996 deals with the arbitration agreements in its section 7<sup data-fn=\"5e4b2e2c-7ad3-4312-9fcc-d37a28fa0de7\" class=\"fn\"><a id=\"5e4b2e2c-7ad3-4312-9fcc-d37a28fa0de7-link\" href=\"#5e4b2e2c-7ad3-4312-9fcc-d37a28fa0de7\">1<\/a><\/sup>. It recognizes an agreement by which parties submit all or certain disputes arising out of a defined legal relationship to arbitration. The agreement may be in a contract or separate agreement and must be written.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lawyer should ascertain whether the clause covers the dispute at hand and understand how the arbitration is intended to operate. This includes whether the arbitration is ad hoc or institutional, the number of arbitrators, the appointment procedure, the seat of arbitration, applicable institutional rules and governing law. Specify any contractual requirement for negotiation, mediation or other pre-arbitration step before invoking arbitration.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The same step should be used to assess limitations. Section 43<sup data-fn=\"e01fa9dc-ca3f-40c5-9c94-566aeff9b8a0\" class=\"fn\"><a id=\"e01fa9dc-ca3f-40c5-9c94-566aeff9b8a0-link\" href=\"#e01fa9dc-ca3f-40c5-9c94-566aeff9b8a0\">2<\/a><\/sup> makes the Limitation Act, 1963 applicable to arbitrations. Section 21<sup data-fn=\"7b76ae3b-dcf5-48a8-877a-63ce746df03f\" class=\"fn\"><a id=\"7b76ae3b-dcf5-48a8-877a-63ce746df03f-link\" href=\"#7b76ae3b-dcf5-48a8-877a-63ce746df03f\">3<\/a><\/sup> generally provides that arbitral proceedings are deemed to have been commenced when the respondent receives a request for the dispute to be referred to arbitration, unless the parties have agreed otherwise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is helpful to provide a detailed chronology. The lawyer should record the contract, the performance, the breach, subsequent correspondence, demands, responses, cause of action and limitation of position. It will be the basis of the pleadings and evidence later in time.<\/p>\n\n\n\n<figure class=\"wp-block-image aligncenter size-full is-resized\"><img decoding=\"async\" src=\"https:\/\/www.lawctopus.com\/wp-content\/uploads\/2026\/08\/image-35.png\" alt=\"\" style=\"aspect-ratio:1.5;width:699px;height:auto\"\/><\/figure>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><em>Image: Arbitration Chronology: Contract to Invocation&nbsp;<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Establish the Tribunal and Request Arbitration<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Typically, once a dispute has arisen and any required pre-arbitration contractual procedures have been completed, the parties are formally notified to activate the arbitration agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The notice should include the contract, the relevant arbitration clause, the dispute and the relief sought. If the agreement provides for a particular procedure for the appointment of arbitrators, the notice should also comply with that procedure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The constitution of the tribunal shall be a matter for agreement between the parties. Usually, in an ad hoc arbitration the parties follow the appointment procedure provided for in the contract. In institutional arbitration, the appointment process may be regulated by the institution and its rules.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 11<sup data-fn=\"50f32609-226b-4ec2-9801-5baeeb6c27a8\" class=\"fn\"><a id=\"50f32609-226b-4ec2-9801-5baeeb6c27a8-link\" href=\"#50f32609-226b-4ec2-9801-5baeeb6c27a8\">4<\/a><\/sup> applies where the agreed method of appointment fails to work. If the circumstances require, a party may apply to the appropriate court for the appointment of the arbitrator or arbitrators under the statutory provisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Thus, a young lawyer should distinguish between the invocation of arbitration and the constitution of the tribunal. The mere act of sending the invocation notice does not ipso facto amount to the proper constitution of the arbitral tribunal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Referral to court is a different matter. Where a party brings a court proceeding in respect of a dispute that is the subject of an arbitration agreement, section 8<sup data-fn=\"564ddf8a-22e7-4ee0-b920-d72471dece88\" class=\"fn\"><a id=\"564ddf8a-22e7-4ee0-b920-d72471dece88-link\" href=\"#564ddf8a-22e7-4ee0-b920-d72471dece88\">5<\/a><\/sup> provides for a mechanism to seek referral of the parties to arbitration, subject to its statutory requirements. Thus, Section 8 deals with reference of dispute to arbitration while Section 11 deals with appointment of arbitrator(s) when the agreed mechanism of appointment has failed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Pleadings and Evidence: Where the Case Is Actually Built<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">With the constitution of the tribunal, arbitration enters the substantive stage. Section 23<sup data-fn=\"4d1496e6-09df-4372-a59c-7593b3f87952\" class=\"fn\"><a id=\"4d1496e6-09df-4372-a59c-7593b3f87952-link\" href=\"#4d1496e6-09df-4372-a59c-7593b3f87952\">6<\/a><\/sup> concerns statements of claim and defense. The claimant sets out the facts supporting the claim, the issues involved and the relief sought. The respondent files its defense and may also file a counterclaim or set-off where allowed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Statement of Claim should establish a clear nexus between the contract, the obligations of the parties, the breach, the evidence relating to the breach, the loss consequent to the breach and the relief sought. The defense should also address the claimant\u2019s factual and legal case rather than merely denying the allegations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Evidence should be organized at the same time as preparing the pleadings. Contracts, invoices, correspondence, payment records, notices and other relevant documents should be connected to the specific facts they are presented to prove. If witnesses or experts are needed, their evidence should be marshaled around the issues to be determined by the tribunal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is one of the most important practical aspects of arbitration. A good case is more than a bundle of legal arguments. It is a simple chain linking facts, documents, witnesses, law and relief.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Interim Relief and Procedural Management<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Arbitration can be a lengthy process and the client may need protection before the final award. Interim measures under Section 9<sup data-fn=\"f02904be-dd3d-4ebc-abb2-bb186dfc9e47\" class=\"fn\"><a id=\"f02904be-dd3d-4ebc-abb2-bb186dfc9e47-link\" href=\"#f02904be-dd3d-4ebc-abb2-bb186dfc9e47\">7<\/a><\/sup> of the Arbitration and Conciliation Act provides for interim measures by the court. Section 17<sup data-fn=\"1fcd1cdc-827a-43e3-bd44-42e791359a72\" class=\"fn\"><a id=\"1fcd1cdc-827a-43e3-bd44-42e791359a72-link\" href=\"#1fcd1cdc-827a-43e3-bd44-42e791359a72\">8<\/a><\/sup> provides for interim measures by the arbitral tribunal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The appropriate remedy will depend on the circumstances and stage of the arbitration. The lawyer should consider the degree of urgency and whether it is appropriate to seek court intervention or to make an application to the tribunal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">And procedural management is equally important. The lawyer has to monitor the directions of the tribunal concerning pleadings, documents, evidence, hearings and written submissions. Section 29A<sup data-fn=\"34947785-b951-415d-9141-836ecf5b00e2\" class=\"fn\"><a id=\"34947785-b951-415d-9141-836ecf5b00e2-link\" href=\"#34947785-b951-415d-9141-836ecf5b00e2\">9<\/a><\/sup> also provides a statutory framework relating to time for making an arbitral award in matters other than international commercial arbitration. The applicable time frame should always be checked against the current statute, institutional rules and procedural orders.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Award, Challenge and Enforcement<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The tribunal makes its award after consideration of the pleadings, evidence and submissions. Section 31<sup data-fn=\"2ddbf9db-0beb-40cc-9f52-3f2cac4536c1\" class=\"fn\"><a id=\"2ddbf9db-0beb-40cc-9f52-3f2cac4536c1-link\" href=\"#2ddbf9db-0beb-40cc-9f52-3f2cac4536c1\">10<\/a><\/sup> deals with the form and contents of the award.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lawyer&#8217;s job is not finished when the award is received. The award should be scrutinized to determine what claims and counterclaims were accepted or rejected, what relief and interest was awarded, and whether there is a legal basis to challenge the award.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The framework for seeking to set aside an arbitral award on certain specified statutory grounds is provided in Section 34<sup data-fn=\"033ef830-6f19-4952-8f19-f82713b39a4e\" class=\"fn\"><a id=\"033ef830-6f19-4952-8f19-f82713b39a4e-link\" href=\"#033ef830-6f19-4952-8f19-f82713b39a4e\">11<\/a><\/sup>. It is not a general appeal against any finding of fact or law by the tribunal. So a lawyer thinking about a challenge must consider the award against the statutory grounds rather than just saying the arbitrator got it wrong.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The next step if the award is in favor of the client is enforcement. Section 36(1) states that an arbitral award shall be enforced in the same manner as if it were a decree of the court under the Code of Civil Procedure, 1908.<sup data-fn=\"7ac251b8-7bee-457a-9627-ec715a961f1c\" class=\"fn\"><a id=\"7ac251b8-7bee-457a-9627-ec715a961f1c-link\" href=\"#7ac251b8-7bee-457a-9627-ec715a961f1c\">12<\/a><\/sup> Note that the filing of a Section 34 application does not mean that an award is unenforceable. A stay must be granted under Section 36.<sup data-fn=\"687dfc4b-8819-4479-af88-3cd2b2dee519\" class=\"fn\"><a id=\"687dfc4b-8819-4479-af88-3cd2b2dee519-link\" href=\"#687dfc4b-8819-4479-af88-3cd2b2dee519\">13<\/a><\/sup><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The post-award process can thus be understood as:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Award \u2192 Challenge, if legally justified \u2192 Stay, if granted \u2192 Enforcement<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The client does not only want a favorable award. The lawyer must also make sure that the relief granted by the award can be enforced.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The Arbitration File Should Tell the Whole Story<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A good arbitration file is one that would allow a different lawyer to take over the matter without having to reconstruct it from hundreds of e-mails. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The documents should generally correspond to the life cycle of the dispute: the contract and arbitration agreement, chronology, documents relating to the invocation and appointment, court proceedings, pleadings, evidence, procedural orders, the award, challenge proceedings and documents relating to enforcement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The lesson is simple:<\/strong> arbitration is not one notice, not one hearing. It is a series of procedural choices. A lawyer who can read the arbitration clause, build the chronology, identify the correct procedural step, prepare the relevant document and track the applicable deadlines is developing a real arbitration skill.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Think you can handle an arbitration matter from start to finish?<\/strong> Knowing the law is only the beginning.
