With placement season around the corner, this question becomes unavoidable. You will hear many opinions from your seniors, professors, friends, and relatives  (unless you are the first in your bloodline to become a lawyer). In-house counsel means a lawyer employed directly by one company. So, as an in-house counsel you will work only for the business that hired you, and your employer will be your \u201cclient\u201d. <\/p>\n\n\n\n

That could be a bank, a startup, a tech company, a healthcare organisation, or a nonprofit. In this role, you get early exposure to how a business actually works. <\/p>\n\n\n\n

Many law students get confused between an in-house counsel and outside counsel. Basically, outside counsel is the external law firm that a company hires for specialised work, like major litigation or a complex deal.<\/p>\n\n\n\n

Sometimes, an in-house lawyer works and manages external law firms rather than taking up every other legal issue themselves.<\/p>\n\n\n\n

A law firm lawyer (starting as an \u201cassociate\u201d initially) works for a firm that serves many external clients at once. So your \u201cclients\u201d will be external companies, or startups and not the company that hired you. The law firm charges clients based on the time you spend working. <\/p>\n\n\n\n

The usual career path is to become an equity partner. This role moves a little faster with more structured training and builds strong technical skills, but at the cost of longer and uncertain working hours.<\/p>\n\n\n\n

An in-house counsel works only for one company who is also our employer. Your employer is your \u201cclient\u201d and thus the legal advice has to be in sync with the commercial angle. <\/p>\n\n\n\n

You need to think from a perspective which is not just legally sound but actually helps to move the business forward. <\/p>\n\n\n\n

On a usual day, your work will revolve around reviewing and negotiating contracts, keeping a close eye on compliances, handling corporate governance, and getting in touch with an outside counsel when something needs specialised litigation or advisory expertise. <\/p>\n\n\n\n

You will be wearing multiple hats where you will have to interact more with non-lawyers, including people with product, finance, HR, and other departments as well. <\/p>\n\n\n\n

So it is important to deep dive into understanding the laws rather than just knowing the theory. <\/p>\n\n\n\n

What a Law Firm Job Looks Like<\/strong><\/h2>\n\n\n\n

At a law firm, your clients are external and keep on changing constantly. The role is a fast pace when it comes to work. <\/p>\n\n\n\n

You could be drafting a term sheet on Monday and researching regulatory questions on Thursday. One week you could be working on M&A, the next week you could be involved in banking, disputes, IP, or employment law. <\/p>\n\n\n\n

The work mostly depends on the functioning of your client. If a deal is closing, the deadline is non-negotiable. <\/p>\n\n\n\n

As a junior associate, you will work closely with a senior associate or partner, so you get quick, direct feedback on your drafting, thinking, and overall approach. <\/p>\n\n\n\n

Salary of in-house roles depends a lot on the company, city, and your experience. For just-out-of-law school freshers, smaller or mid-sized companies can pay around Rs. 6 – 12 lakh per year. <\/p>\n\n\n\n

But having a prior law firm experience of 1-3 years can get you paid Rs. 18 – 25 lakh per year, which is a pretty common route into in-house roles.1<\/a><\/sup><\/p>\n\n\n\n

Companies into tech, financial services, and pharma fields tend to pay the most. Another highly rewarding route is joining the Big 4 firms like Deloitte, PwC, EY, and KPMG, especially if you are interested in tax, compliance or ESG.2<\/a><\/sup>\u00a0<\/p>\n\n\n\n

Tier-1 law firms like AZB & Partners, Cyril Amarchand Mangaldas, Khaitan & Co., Shardul Amarchand Mangaldas & Co., Trilegal, JSA usually offer freshers around Rs. 9-22.5 lakh per annum.3<\/a><\/sup><\/p>\n\n\n\n

Whereas, Tier-2 law firms like DSK Legal, Phoenix Legal, Argus Partners, Saraf and Partners hire freshers at around Rs. 6-10 lakh per annum, while Tier-3 or regional law firms pay closer to Rs. 3-6 lakh per annum to freshers.4<\/a><\/sup><\/p>\n\n\n\n

In-house is usually more certain<\/strong> but at times there will be days when you might have to work overtime. On days when you are working on a big acquisition, deals, or fixing some crisis, then you can expect weeks to be just as crazy as a law firm.6<\/a><\/sup>\u00a0<\/p>\n\n\n\n

At law firms, working hours can be very uncertain and different for different teams. <\/p>\n\n\n\n

Like, a regulatory team will have a different schedule than that of an M&A team working hard at midnight to close a deal. <\/p>\n\n\n\n

You can consider joining a law firm if you want to learn fast, get an early exposure to work with different clients, deals and industries. <\/p>\n\n\n\n

You will enjoy working at a law firm if you want to build strong expertise in a specific area, and don\u2019t mind working for long unpredictable hours if in return it offers you a faster career growth. <\/p>\n\n\n\n

Whereas, you will enjoy working in an in-house set up if you are curious about how a business actually works, want to be involved in decisions instead of just pointing out legal risks, prefer more predictable hours, and like working with people outside the legal team too.<\/p>\n\n\n\n

What Should You Choose After Law School?<\/strong><\/h2>\n\n\n\n

In India, most corporate law aspirants don\u2019t move to an in-house job right after completing law school. When they Google \u201cin-house counsel vs. law firm\u201d, they think it is a one-time, permanent choice but that\u2019s not true. <\/p>\n\n\n\n

The most common path is to get law firm exposure for 3 to 6 years, build strong practical skills and a solid track record, and then move to an in-house lawyer role. <\/p>\n\n\n\n

This way you will have stranger chances to get hired in a company because the experience that you will bring to the table will be very valuable.<\/p>\n\n\n\n

Starting as an in-house lawyer and then moving to a law firm can be harder because law firms hire on the basis of practical skills and track record which is usually not much emphasised in the in-house jobs. <\/p>\n\n\n\n

Although this career path is not a fixed rule, if you are confused then it is better to start at a law firm first. This is a safer option for law students as it keeps more doors open.<\/p>\n\n\n\n

Choosing an in-house job or a law firm role doesn\u2019t have any universally right answer. It depends on how you want your first few years as a lawyer to look like.<\/p>\n\n\n\n
